Terms of Service

1. Introduction

These Terms of Service govern your use of Harmony, a project management service operated by YComplex Ltd, a company registered in England and Wales. By creating an account or otherwise using the Service, you agree to be bound by these terms. If you do not agree, you must not use the Service.

Please also read our Privacy Policy and Acceptable Use Policy, which are incorporated into these Terms by reference.

2. Definitions

  • "Service" means the Harmony web application and API made available at harmony.ad and any associated subdomains.
  • "Workspace" means an isolated environment within the Service that contains projects, tasks, and members.
  • "User" means any individual who has created an account and is authorised to access the Service.
  • "Content" means any data you create, upload, or store within the Service, including tasks, comments, documents, labels, and any other materials.
  • "YComplex Ltd", "we", "us", or "our" refers to YComplex Ltd, the operator of the Service.

3. Account Registration

To use the Service you must register for an account. By registering, you represent and warrant that:

  • You are at least 16 years of age.
  • All information you provide during registration is accurate, current, and complete.
  • You will keep your account credentials secure and notify us immediately of any unauthorised access.
  • You will maintain only one account per person and will not create accounts on behalf of others without their consent.

You are solely responsible for all activity that occurs under your account.

4. Use of the Service

Your use of the Service is subject to our Acceptable Use Policy. You agree not to use the Service in any way that violates that policy or any applicable law or regulation.

Subject to your compliance with these Terms, YComplex Ltd grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business or personal purposes. No rights are granted to you other than as expressly set out in these Terms.

5. Subscriptions and Billing

Free Tier

The Free tier is available at no cost and includes: 1 member, up to 250 tasks, unlimited viewers, and access to all features.

Pro Tier

The Pro tier is priced at $15/month as a flat fee (not per seat) and includes: up to 5 members, unlimited tasks, unlimited viewers, and access to all features. New Pro subscribers receive a 30-day free trial. After the trial period, billing commences automatically unless you cancel before the trial ends.

Payment and Renewal

Payments are processed by Stripe. By providing payment details, you authorise YComplex Ltd to charge your payment method on a recurring monthly basis. Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel your subscription at any time from your account settings; access to Pro features will continue until the end of the current billing period, after which your Workspace will revert to the Free tier limits.

All fees are quoted in US dollars and are exclusive of any applicable taxes. You are responsible for any taxes applicable to your subscription.

6. Your Content

You retain full ownership of all Content you create within the Service. By uploading or creating Content, you grant YComplex Ltd a limited, non-exclusive, royalty-free licence to store, display, and transmit your Content solely to the extent necessary to provide the Service to you and your Workspace members. We will not use your Content for any other purpose.

You may export your Content at any time from your Workspace settings. On deletion of your account, your Content will be permanently deleted within 30 days, except where retention is required by law.

You are solely responsible for the accuracy, legality, and appropriateness of all Content you create or submit through the Service.

7. MCP Server / API Access

The Service provides API tokens that grant programmatic access to your Workspace, including via the Harmony MCP server. You are solely responsible for safeguarding your API tokens and ensuring they are not shared or exposed to unauthorised parties. Tokens can be revoked at any time from your project settings.

Abuse of the API — including but not limited to excessive request volumes, automated scraping, or use that degrades service quality for other users — may result in rate limiting or termination of your account at our sole discretion.

8. Availability and Support

We aim to provide a highly available Service but do not guarantee any specific uptime percentage. The Service may be interrupted for scheduled maintenance, emergency fixes, or reasons outside our reasonable control. Where possible, we will provide reasonable advance notice of planned maintenance windows.

Support is provided on a best-efforts basis via email. We do not commit to specific response times.

9. Termination

You may delete your account at any time from your account settings. Upon deletion, your access to the Service will cease immediately.

We may suspend or terminate your account, with or without notice, if we determine that you have violated these Terms or the Acceptable Use Policy, or if your account poses a risk to the Service or other users.

Following termination or account deletion (by you or by us), your Content will be retained for 30 days and then permanently deleted, except where retention is required by applicable law.

10. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or free of harmful components.

To the maximum extent permitted by applicable law, YComplex Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business interruption — arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

YComplex Ltd's total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you in the 12 months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless YComplex Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your Content; (b) your use of or access to the Service; or (c) your violation of these Terms or any applicable law.

12. Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email to the address associated with your account before the changes take effect. Non-material changes (such as clarifications or corrections) may be made without prior notice.

Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Service and delete your account before the changes take effect.
